INDEMNIFICATION
You hereby indemnify to the fullest extent HPI, its officers, directors, employees, Parent Companies, and Subsidiaries, known or unknown, from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.
Manufacturers and sellers assume no liability or responsibility for adverse events related to consumption.
CHOICE OF LAW AND VENUE
These Terms and Conditions, as well as any sale of Goods to Buyer, are deemed to have been both agreed to and have had occurred in the State of Wyoming. Any disputes or clarification of interpretation, and the remedies for enforcement or breach of contract, are to be applied pursuant to and in accordance with the laws of the State of Wyoming. Buyer and Seller expressly agree that all actions or proceedings arising in relation to the sale of any Goods or these Terms and Conditions shall be tried and litigated exclusively in the State or Federal Courts within the State of Wyoming. The Buyer relinquishes the right to contest exclusive venue by any motion to transfer, motion for forum non-convenience or any and all related motions.
MANDATORY ARBITRATION AGREEMENT
By purchasing products from HPI, you are entering a binding contractual agreement that any dispute or claim arising out of or relating to the purchase, sale, or use of our products shall be resolved exclusively through binding arbitration administered by arbitrators of the American Arbitration Association (AAA). The arbitration shall be conducted by three (3) arbitrators. HPI shall appoint one arbitrator, the purchaser shall appoint another, and the two appointed arbitrators shall jointly appoint the third arbitrator who shall act as the presiding arbitrator. If the two arbitrators fail to agree on the third arbitrator within thirty (30) days of their appointment, the third arbitrator shall be appointed in accordance with the AAA Rules and Guidelines. Any arbitration shall be conducted in Wyoming unless otherwise mutually agreed upon by both parties. The arbitral award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction within the state of Wyoming. The Parties hereby waive any right of appeal to any court in connection with any question of law arising in the course of the arbitration or with respect to any award made. You further agree that arbitration shall be the sole and exclusive forum for resolving any dispute or claim, regardless of its basis (including but not limited to medical, health, financial, psychological, etc), and you waive your right to participate in any class action lawsuit or class-wide arbitration.
ASSIGNMENT
HPI is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you as the buyer are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
VARIATION OF TERMS
HPI is permitted to revise these Terms at any time as it sees fit, and by using our services you are expected to review these Terms on a regular basis.
SEVERABILITY
If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
ADDITIONAL AGREEMENTS BY THE BUYER
By purchasing products from this website, you are hereby affirming the following:
1) I am of legal age and an adult under the laws of my State and Country and of the legal age to purchase Mitragyna Speciosa (Kratom) as and if designated by the laws of my state, county, or city.
2) I am in good health, of sound mind and body, and am capable of making my own decisions and representations.
3) I have clearly read and fully understand and comprehend these terms and conditions, as well as any and all cautions & warnings, including but not limited to the warnings printed on the label.
4) If I engage in the resale of any products or distribute free samples, I hereby agree to indemnify and hold harmless HPI and its affiliates from and against any and all claims, liabilities, or expenses arising therefrom.
5) You and HPI are independent and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
6) You have no authority to make or accept any offers or representations on our behalf of HPI.
7) You will not make any statement, whether on your website, labels or otherwise, that reasonably would contradict anything in these Terms and Conditions.
ENTIRE AGREEMENT
These Terms and Conditions constitute the entire agreement between HPI and its affiliates and you, the buyer, in relation to your purchase of products. Any verbal agreements not explicitly documented herein shall be considered null and void.
